E-PARTNERSHIP MEMBERSHIP AND SALES AGREEMENT
WITH CREDIT CARD

Article 1- The Parties;

 

……. …… ….. …….. resident at the address ……Lmt.Co. and ….. …… …… ….. resident at ……… ( customer) www……com or www……com.tr which can be entered at …… Lmt.Co. Online Internet Shopping Site (…..) or ……. They have agreed that credit card installment transactions (Co-payment) to be made with are subject to the following provisions.

 

Article 2- Subject;

 

……’s business partners over the internet that online product sales www…..com the use of the system membership at address, orders by using credit cards, electronic shopping, product price and stock information, orders, and tracking of projects and pricing for financial transactions, electronic payment instruments (credit CARD, virtual POS and mobile POS and mail order) terms related to payment, confidentiality, work management, force majeure, transfer of contract, it determines the mutual obligations of …… and the customer with the rules for termination and resolution of disputes.

 

In addition, with this agreement … the method of operation, transfer, termination and rules for resolving disputes related to Credit Card Installment transactions to be made through ……. and the mutual obligations of the CUSTOMER are determined.

 

Article 3- Membership System;

 

1- User Code: The customer is authorized to perform all kinds of user operations in the system with a user code that will be determined by ……… The user code is private and the same user code cannot be given to two different customers. If the customer wants, he can ask for the creation of User Codes with different permissions from ……. and use them to the people he wants to authorize within the company and … perform certain operations at the address of these people. The Client agrees that he is fully responsible for the powers granted to these persons and the actions that these persons will take.

 

2- Password: The temporary password is set by …… on first use. The customer must change this password for the first time when using it. Changing and protecting the password is the responsibility of the customer and he will certainly not be responsible for any problems that may arise from the use of the password. The password of other users with different permissions should be changed in the same way on the first use.

 

3- Usage: The Customer … must enter the user code and password to connect to the services that require membership. …… may refrain from providing this service to any customer at any time in its sole discretion.

 

4- Co-Payment: The Credit Card and Installment Payment Agreement required for the Customer to benefit from transactions requiring a CO-PAYMENT membership must be signed by the CUSTOMER and delivered to …….. In addition…… we may refrain from providing this service to any customer at any time in our sole discretion.

 

Article 4- Obligations of the Parties;

B-Customer’s Obligations

Article 5- Powers;

 

Within the scope of this agreement ……. he has the following powers unconditionally and unconditionally.

9- ……. … undertakes that its services will be provided on time, safely and without errors, that the results obtained from the use of the service are accurate and reliable, and that the quality of the service will meet expectations.

 

10- ……. it may allocate quotas that it deems appropriate for the storage of members’ files. He already has the right to increase and decrease these quotas in accordance with current needs. It is not responsible for the process of storing, deleting, backing up files that will be found in the environment…….

Article 6- Validity of Registration;

Article 8- Product Delivery;

 

…… it delivers the orders it has received through the system to the customer in the shortest possible time using the distribution method it wants, according to the existing inventory structure, in accordance with the entry order. …… it has the right to make deliveries with its own vehicles, as well as with a cargo company that it will determine, or with a subcontracted carrier company. If the product delivery takes place according to the customer’s option with another cargo company or a cargo company with which …..is not contracted, ……. will not be responsible for this delivery because the conditions of carriage are not determined by …………………………………

 

Regarding the payment of transportation fees …… or by the customer ……. he has the right to change it unilaterally at any time. If the Transportation Fee is paid by ……, the customer cannot be at the place for the first time and the delivery does not occur, all of the fees after this stage are paid by the customer.

 

If the Customer does not want to receive the goods or is not available on the spot, the transportation fee will be charged to the customer’s Current account, if the order is made by credit card, this amount will be charged to the Credit Card.

 

In these cases, the order will be deemed canceled and the damages suffered by ……. due to this order will be compensated by the customer.

 

Article 9- Taxation;

 

…… all transactions made through … are taxed in accordance with the current Tax Laws in Turkey. Sales within the scope of the Investment Incentive Certificate and based on exports will not be made through this system.

 

Any future changes to the Tax Laws will automatically become a provision under this agreement. In accordance with the Tax Laws, the CUSTOMER will have all the responsibilities related to the registration procedure on their own.

 

Article 10- Applicable Provisions;

 

In all disputes that may arise in connection with this agreement, the provisions of this agreement will be applied first of all, and the Turkish Laws (Code of Obligations, Turkish Commercial Code, etc.) will be applied to the provisions that are not included in this agreement.

 

Article 11- Authorized Courts and Enforcement agencies;

 

Business in all disputes arising out of this agreement ….. Courts and Enforcement agencies are authorized.

 

Article 12- Effective Date;

Article 13- Termination of the Contract;

Article 14- Use of Credit Cards;
